User Agreement for Lifesync Conmo Medical Smart Service Platform

Welcome to use the Conmo Smart Medical products!

Before formally using the Kai Meng Smart Medical products, please carefully read the following relevant service agreements and terms:

1  About Us

This agreement is a contract between you and Huizhou Kai Meng Medical Technology Co., Ltd. and its affiliates (referred to as "Kai Meng Medical" or "We") regarding the Lifesync Kai Meng Medical Smart Service Platform (referred to as "Lifesync") app and associated products or services and related technologies and functions (referred to as "the Service"). Huizhou Kai Meng Medical Technology Co., Ltd. is the developer and operator of the Service, owning all rights and operating rights of the Service.

2  Purpose of the Agreement

2.1 In order to ensure that you can use the Service properly, please read this Agreement carefully (minors should read it under the guidance of a guardian), understand the manner in which the Service provides services to you, the allowed and prohibited activities/response plans, and other important information, particularly the provisions concerning exemption or limitation of liability, applicable laws, and dispute resolution.

2.2 When you agree to this Agreement or use the Service as prompted on the webpage, it means that you agree to accept this Agreement and be bound by its terms. Kai Meng Medical reserves the right to modify the Agreement. If the terms of this Agreement are updated, the updates will take effect from the date of publication. After modifying the terms of this Agreement, if you do not accept the modified terms, please immediately stop using the Service. Your continued use of the Service will be considered as your acceptance of the modified terms.

3  Conditions of Use of the Service

3.1 You represent and warrant that you have full legal capacity and that your signing and performance of this agreement will not conflict with or result in a breach of any other agreements or arrangements you are obligated to fulfill.

3.2 If you are a minor (under the age of eighteen), please read this agreement with the accompaniment of your parents or other guardians. Do not use this service until they have clearly understood the contents of the agreement and agreed to it.

3.3 This service is not intended for children under the age of thirteen. If you are under the age of thirteen, please do not use this service.

4  Scope of Service Authorization

4.1 We grant you a non-transferable and non-exclusive software license to access and use this service in accordance with this agreement. You do not have any further authorization rights.

4.2 The Lifesync account is the identifier we use to recognize your identity, and ownership of the account belongs to us. As the initial applicant and registrant, you have the right to use the account.

4.3 You are responsible for any consequences arising from all activities under your account. If there is any unauthorized use of this service by someone other than yourself, you promise and guarantee that the user (referred to as “your authorized user” below) is aware of and agrees to this agreement and the privacy policy.

5  Service Content Provided by the Service

5.1 The main service content provided by the service is to provide technical services and technical support for the intelligent and detection devices and/or related products under Kaifeng Medical and its affiliated companies.

5.2 In order to continuously improve your user experience, improve the service content, or due to the addition of subsequent brands and/or products, we will continuously develop new features and provide software updates from time to time. Therefore, existing features may be added or modified due to different versions or our judgment, or temporarily suspended due to regular or irregular maintenance. At the same time, we may make different adjustments to the names, functions, presentation forms, etc. of the products or services without special notice.

5.3 We will make every effort to ensure the accuracy and completeness of the services you use. However, due to well-known objective factors such as internet technology, the information involved in this service may have a certain lag or errors. Please be aware and understand this. If you find any errors or have any questions about the service information, please stop using this service and notify us as soon as possible.

6  Rules for Using the Service

You promise and agree to access and use this service in a legal and ethical manner in accordance with this agreement.

You shall not transmit any content with the following characteristics through this service or engage in any activities with the following characteristics through other means:

(a) Uploading, downloading, storing, copying, publishing, transmitting, sending by email, or providing content that is prohibited by laws, regulations, and policies, such as:

i. Contrary to the fundamental principles established by the constitution;

ii. Endangering national security, leaking state secrets, subverting state power, or undermining national unity;

iii. Harming national honor and interests;

iv. Inciting ethnic hatred, discrimination, or undermining ethnic unity;

v. Undermining the state’s religious policies or promoting cults and feudal superstitions;

vi. Spreading rumors, disrupting social order, or undermining social stability;

vii. Spreading obscene, pornographic, gambling, violent, murderous, terrorist, or inciting criminal activities;

viii. Insulting or defaming others, infringing upon the legitimate rights and interests of others;

ix. Harming social ethics or excellent cultural traditions of the nation;

x. Infringing upon the patent rights, copyrights, trademark rights, reputation rights, or any other legitimate rights and interests of any third party;

xi. Containing other content prohibited by laws and administrative regulations.

(b) Infringing upon the privacy rights, trade secrets, trademark rights, copyrights, patent rights, and other legitimate rights of others;

(c) Engaging in any illegal trading activities, such as selling firearms, drugs, banned drugs, or other prohibited items;

(d) Planning or engaging in illegal activities such as money laundering or cashing out;

(e) Deleting any copyright, trademark, or other proprietary notices contained in this service;

(f) Copying or modifying all or part of the content of this service, or allowing this service or any part of it to be merged or incorporated into any other program;

(g) Accessing or attempting to access or damage any part of this service or related systems or networks without authorization;

(h) Decompiling, decoding, or reverse engineering this service or any part of it, or creating derivative works based on this service or any part of it, or attempting to engage in similar activities prohibited by applicable laws.

(i) Distributing, licensing, leasing, selling, reselling, transferring, publicly displaying, publicly performing, transmitting, broadcasting, disseminating, or otherwise using this service;

(j) Impersonating others, falsely claiming or misrepresenting your relationship with someone or some entity;

(k) Using this service (or any part of it) for illegal purposes, in any unlawful manner, or in violation of this agreement, or engaging in any fraudulent or malicious activities, including but not limited to invading this service (or the website linked to this service) or any operating system or implanting malicious code, including viruses or harmful data;

(l) Infringing upon the intellectual property rights of Kaifeng Medical or any third party when accessing and using this service;

(m) Using this service for commercial purposes without prior written permission from Kaifeng Medical;

(n) Engaging in any illegal commercial transactions using this service, such as selling firearms, drugs, illegal items, pirated software, or other prohibited items;

(o) Requesting others’ login information or accessing others’ accounts;

(p) Engaging in money laundering, cashing out, or pyramid schemes;

(q) Violating this agreement (or any part of it), or promoting or inciting such behavior;

(r) Engaging in other behaviors that violate national laws, regulations, rules, policies, or this agreement. If you violate the above rules and cause any damage to us, you shall bear the responsibility in your own name and indemnify us from any losses or damages arising therefrom. You shall fully compensate us for any and all losses, third-party claims, administrative penalties, damages, and/or expenses incurred or suffered by us as a result of your violation of relevant laws or this agreement, including reasonable attorney fees.

7  Protection of Personal Information

7.1 Kaifeng Medical attaches great importance to the protection of your personal information and privacy. You understand and agree that, in the process of using this service, for the necessary purposes of providing this service or based on your consent, we will process your personal information in accordance with the “Lifesync Kaifeng Medical Smart Service Platform Privacy Policy” (hereinafter referred to as the “Privacy Policy”). Therefore, you need to carefully read the separate and explicit Privacy Policy to understand the purposes, methods, types, retention periods of processing personal information, the ways and procedures for exercising user rights, and the measures taken by Kaifeng Medical to protect your personal information.

7.2 By agreeing to use this service, you also accept various information services provided by us.

8  Disclaimer 

8.1 This service is only for your personal use or the use of your authorized users and shall not be provided to any third party. You agree that we shall not be liable for any losses caused by unauthorized use of this service.

8.2 This service may be interrupted, delayed, or interfered with for reasons beyond our control and at unknown times during use. You agree that we shall not be liable for any claims arising from or related to such interruptions, delays, interferences.

8.3 All data within the application, such as blood oxygen, pulse, blood pressure, blood sugar, body temperature, and body fat percentage, are directly measured through devices (respirators, oximeters, blood pressure monitors, glucose meters, thermometers, weighing scales, etc.) or derived from the integration of device measurement data and relevant personal body information provided by you. The values are comparable to professional medical data but are for reference use only and should not be used as a basis for clinical medical decisions. Before making any medical decisions, users should seek advice and opinions from doctors.

8.4 This service is provided on an “as-is” and “as-available” basis, without any form of warranty or endorsement. To the maximum extent permitted by applicable law, we do not acknowledge any express or implied warranties, conditions, or other agreements in relation to the following, nor do we make any guarantees, commitments, statements, or warranties:

(a) The completeness, accuracy, reliability, or timeliness of any content provided by this service or obtained through this service;

(b) The existence of defects, errors, viruses, vulnerabilities, or other harmful elements in this service or the servers hosting this service;

(c) Whether defects in the operation or functionality of this service will be corrected;

(d) Any guarantees related to specific functions of this service or the reliability, quality, or accuracy of any information obtained when using or accessing this service;

(e) The security and accuracy of this service;

(f) Whether this service is reliable, of high quality, accurate, available, or capable of meeting your needs, producing specific results, or achieving specific outcomes. We shall not be liable for any losses or damages arising from or related to your complete or partial reliance on, use of, or interpretation of this service, or any information obtained when you (or anyone else) access and/or use this service.

Some countries’ laws do not allow the exclusion or limitation of certain warranties, guarantees, or liabilities in contracts. If these laws apply to you, the exclusion or limitation clauses mentioned above, in whole or in part, may not apply. Nothing in this agreement affects your statutory rights as a consumer.

9  Intellectual Property Statement

9.1 Kaifeng Medical is the holder of the intellectual property rights of Lifesync, including copyrights, trademarks, patents, trade secrets, and all other intellectual property rights related to this software, as well as all information related to this software (including but not limited to text, images, audio, video, graphics, interface design, configuration, data, or electronic files), which are protected by the laws of the People’s Republic of China and relevant international agreements. Kaifeng Medical owns the aforementioned intellectual property rights.

9.2 Without prior written consent from Kaifeng Medical, users shall not independently or allow any third party to use or transfer any of the aforementioned intellectual property rights for any commercial or non-commercial purposes. Kaifeng Medical reserves the right to pursue legal liability for such actions.

9.3 You understand and agree that for non-personal information such as text, images, videos, audios, and other information generated by you during the use of this service, except for personal information, you grant us and our affiliated companies a worldwide, non-exclusive, royalty-free license to use (including for commercial purposes) and sublicense to third parties, as well as the right to gather evidence and initiate legal proceedings against third-party infringement in your own name within the legally prescribed protection period. You agree that we may store, use, copy, modify, edit, publish, display, translate, distribute, or create derivative works of your non-personal information, and incorporate such information into other works in any known or future-developed form, media, or technology.

10  Termination and Termination of the Agreement

10.1 You may terminate the agreement by canceling your Lifesync account, withdrawing your consent to this agreement, or ceasing to use this service. Upon termination of the agreement, your right to use this service will be terminated immediately. We shall not be liable for any consequences resulting from the termination of this agreement, including the termination of your user account and the deletion of your user content. We may retain data backups of certain information, but we are not obligated to provide you with the information materials generated by your use of this service.

10.2 In the event of your violation of the rules, we may suspend, restrict, cancel, or terminate your access to all or part of this service in accordance with applicable laws, without any liability to any individual or third party. In cases of serious violations, legal liabilities may also be pursued. We will make reasonable efforts to notify you before taking the aforementioned actions. However, we may immediately suspend, restrict, cancel, or terminate your access to all or part of this service without prior notice in the following circumstances:

(a) You violate or we have reason to believe that you are about to violate any provisions, policies, or guidelines contained in this agreement;

(b) You or your authorized users engage in fraudulent or illegal activities or provide us with false or misleading information;

(c) Responding to requests from law enforcement agencies or government authorities in accordance with valid legal procedures;

(d) For emergency system or hardware maintenance or updates;

(e) Due to unforeseen technical, security, or business reasons.

The expiration or termination of this agreement shall not affect the conditions explicitly stated in this agreement that can still be operated or remain effective after its expiration or termination, nor shall it affect any accrued rights or obligations or any rights or obligations that should continue to be valid after the expiration or termination of this agreement.

11  Applicable Law and Dispute Resolution

This Agreement shall be governed by the laws of the People’s Republic of China. You and we agree that the place of signing this Agreement is Longgang District, Shenzhen City, Guangdong Province, China. In the event of any dispute between the parties during the performance of the contract, the parties shall resolve it through negotiation. If negotiation fails, the parties shall submit the dispute to the people’s court with jurisdiction over the place of signing this Agreement for resolution through litigation.

12  Other Provisions

12.1 If any provision of this Agreement is deemed invalid or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.

12.2 Nothing in this Agreement shall be construed as establishing any cooperation or agency relationship between you and us. Neither party has the authority to incur any liability, obligation, or cost on behalf of the other party or enter into any contract or other agreement on behalf of the other party.

12.3 The headings of all provisions in this Agreement are for convenience only and shall be disregarded in interpreting this Agreement.

12.4 If any provision of this Agreement is invalid or becomes invalid or unenforceable for any reason, the other provisions of this Agreement shall remain in full force and effect and shall be binding on both parties to this Agreement.

Accessibility services: This permission is intended to quickly help users set up background protection and floating permissions. This permission is mainly for assistive and usability services. After the app is set up, this service will be automatically disabled. If you do not want to use this service, you can also manually disable it. Minors should use this service under the authorization of their parents or guardians.

Your Rights

Right to be informed: Your personal data and related information may be stored in our database for a period of three years, and you may request to view certain information in accordance with relevant regulations.

Right to rectification: If you find that your personal information has changed or that there are errors in the personal information we process about you, you can make corrections through (to be supplemented).

Right to erasure: You have the right to delete your personal information yourself or contact us to delete it, except for exceptions specified by laws and regulations. After you delete information from our service, we may not immediately delete the corresponding information from our backup systems, but we will delete this information when the backups are updated.

Right to change authorization scope: Certain business functions require some basic personal information to be completed. For additional collection and use of personal information, you can adjust the settings on your device at any time. You can disable permissions such as notifications, network, camera, photos, location, Bluetooth, Wi-Fi, etc. in the device operating system, change the scope of consent, or revoke your authorization. After receiving your request to cancel the account, we will complete the verification and processing within 15 working days. After the account is canceled, we will stop providing products or services to you. For reasonable requests, we generally do not charge a fee, but for multiple repeated requests or requests that exceed reasonable limits, we may charge a certain cost depending on the circumstances. We may refuse requests that are groundless, require excessive technical means (such as the need to develop new systems or fundamentally change current practices), pose risks to the legitimate rights and interests of others, or are difficult to implement.

We will not be able to respond to your request in the following circumstances:

Related to the fulfillment of obligations by the personal information controller as required by laws and regulations;

Directly related to national security and defense security;

Directly related to public safety, public health, and major public interests;

Directly related to criminal investigation, prosecution, trial, and execution of judgments;

The personal information controller has sufficient evidence to show that the personal information subject has subjective malice or abuses rights;
